1. Acceptance of These Terms

These Terms and Conditions, together with any additional terms, notices, disclosures, authorizations, consents, applications, agreements, or policies that are presented to you or incorporated by reference, govern your access to and use of the EZ Money USA website, online application, forms, communications, products, services, and related features, collectively referred to as the “Services.” By accessing the website, submitting information, completing an application, clicking a checkbox or button indicating acceptance, signing electronically, communicating with us, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

2. About EZ Money USA and the Services

EZ Money USA provides business funding facilitation, business financing information, application intake, document collection, revenue-based financing support, and related services for business owners in the United States. EZ Money USA may act as a funding facilitator, broker, referral source, marketplace, service provider, or intermediary connecting applicants with independent third-party lenders, funders, merchant cash advance providers, and revenue-based financing providers (“Funding Partners”).

EZ Money USA does not guarantee that any applicant will be matched with a Funding Partner, approved for funding, or receive a particular funding amount, rate, fee, repayment term, or timing. Any funding statement is subject to eligibility, underwriting, verification, complete documentation, bank processing time, Funding Partner availability, applicable law, and final approval.

3. Business-Purpose Use Only

The Services are intended for business-purpose financing and related commercial services. The Services are not intended for personal, family, household, or consumer-purpose loans.

4. Eligibility and Authority

You may use the Services only if you are at least eighteen years old, reside or operate a business in the United States where the Services are available, and have the legal capacity and authority to enter into these Terms. You agree that all information you provide will be true, accurate, current, complete, and not misleading.

5. Application, Document Submission, and Verification

To use certain Services, you may be required to submit an application and provide information such as your name, date of birth, driver’s license number, contact information, mobile or WhatsApp number, Social Security number, ITIN, business name, business address, industry, revenue, bank statements, business documentation, ownership information, and tax identification information.

By submitting an application, you authorize EZ Money USA and its Funding Partners, service providers, affiliates, agents, and representatives to review, verify, process, store, share, and use the information for lawful business purposes related to the Services.

6. Credit, Identity, Background, and Business Verification Authorization

By submitting information, you authorize EZ Money USA and its Funding Partners to obtain, request, review, verify, and use information from third parties for any lawful purpose related to your application or the Services, including personal and business credit reports, public records, fraud prevention databases, identity verification services, bank account data, business revenue data, and beneficial ownership information.

7. No Financial, Legal, Tax, Accounting, or Investment Advice

The information provided through the Services is for general informational and business funding facilitation purposes only. EZ Money USA is not your financial, legal, tax, accounting, securities, or investment advisor. Consult your own qualified professionals before entering into any funding arrangement.

8. Funding Partners and Third-Party Products

EZ Money USA may share your application with one or more Funding Partners. Funding Partners are independent third parties with their own terms, privacy policies, underwriting standards, pricing, and disclosures. Any funding agreement is solely between you and the applicable Funding Partner unless EZ Money USA is expressly identified as a party.

9. Fees, Compensation, and Partner Relationships

EZ Money USA may receive compensation from Funding Partners, service providers, brokers, affiliates, or other third parties in connection with the Services, including referral fees, broker fees, origination-related compensation, success-based fees, servicing compensation, or marketing fees. Any fees charged directly to you, if applicable, should be disclosed in the relevant application or funding agreement.

10. Communications Consent; Calls, Texts, WhatsApp, and Email

By providing your phone number, mobile number, WhatsApp number, email address, or other contact information, you expressly authorize EZ Money USA, its affiliates, service providers, agents, representatives, Funding Partners, and other authorized parties to contact you regarding your application, account, inquiry, business funding options, marketing offers, educational content, reminders, document requests, updates, and related services.

You agree that communications may be made by phone calls, emails, SMS text messages, MMS messages, WhatsApp messages, prerecorded messages, artificial voice messages, ringless voicemail where permitted, automated telephone dialing systems, manual dialing, push notifications, or other electronic means, even if your number is listed on a federal, state, corporate, or internal do-not-call list, to the extent permitted by law. Message and data rates may apply. Message frequency may vary. Wireless carriers are not liable for delayed or undelivered messages.

You may opt out of marketing text messages by replying STOP to a text message. You may request help by replying HELP or by contacting EZ Money USA at contact@ezmoneyusa.com or +1 (617) 209-2000. You may unsubscribe from marketing emails by using the unsubscribe link in the email or by contacting us. Opting out of marketing communications does not prevent transactional, servicing, application-related, legal, security, or account-related communications.

Where required by law, your consent to receive marketing calls or texts is not a condition of purchasing any property, goods, or services. SMS opt-in data and consent will not be shared with third parties or affiliates for their own marketing or promotional purposes.

11. Electronic Communications and E-SIGN Consent

By using the Services, you consent to transact business electronically and to receive electronically all agreements, notices, authorizations, disclosures, records, documents, signatures, and other communications. 15. User Submissions, Reviews, and Feedback

If you submit comments, reviews, testimonials, feedback, photos, videos, suggestions, or other content, you represent that you have the necessary rights and grant EZ Money USA a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, transferable, and sublicensable license to use that content for marketing, advertising, operational, training, compliance, and business purposes.

16. Third-Party Websites and Tools

The website may link to or integrate with third-party websites, tools, platforms, analytics services, payment processors, communication providers, document collection tools, bank-linking providers, or Funding Partner platforms. EZ Money USA is not responsible for their content, security, or terms.

17. Disclaimers

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, EZ Money USA disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and uninterrupted operation.

18. Limitation of Liability

To the fullest extent permitted by law, EZ Money USA and its affiliates, service providers, and Funding Partners will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages. EZ Money USA’s total liability for any claim will not exceed one hundred U.S. dollars (US$100) or the amount you paid directly to EZ Money USA for the specific Service giving rise to the claim, whichever is greater.

19. Indemnification

You agree to indemnify, defend, and hold harmless EZ Money USA and its affiliates, service providers, and Funding Partners from and against any claims, losses, liabilities, damages, judgments, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your use of the Services, your application, your violation of these Terms, or your violation of law.

20. Privacy Policy

Your use of the Services is also governed by the EZ Money USA Privacy Policy, which is incorporated into these Terms by reference.

21. State Availability and Legal Compliance

The Services may not be available in all states or jurisdictions. EZ Money USA reserves the right to limit, deny, suspend, or modify the Services based on state availability, licensing requirements, Funding Partner requirements, underwriting criteria, legal restrictions, risk policies, or operational limitations.

22. Changes to These Terms

EZ Money USA may update or modify these Terms at any time. Updated Terms will be posted on the website with a revised effective date. Your continued use of the Services after updated Terms are posted constitutes your acceptance.

23. Termination

EZ Money USA may suspend, restrict, or terminate your access to the Services at any time, with or without notice, for any reason, including suspected fraud, security concerns, legal compliance, business reasons, or violation of these Terms.

24. Governing Law and Venue

These Terms will be governed by and construed in accordance with the laws of the State of Massachusetts, without regard to conflict-of-law principles. Any dispute will be brought exclusively in the state or federal courts located in Suffolk County, Massachusetts.
